CoCounsel can review files to find specific information, including reviewing documents, extracting data from contracts, and analyzing contracts for policy compliance.

A. How the AI works


Each review works a little bit differently.

1. Review documents

When CoCounsel is reviewing documents to find specific information, it reads every word to find the information you request. Generally, a review follows these steps.

  1. You request a review of your documents.

  2. You provide the documents.

  3. You describe the information you need with questions or other explanations.

  4. CoCounsel reads every word of the document.

  5. CoCounsel provides an answer grid with a short reply, a longer explanation, and list of sources that answer each question for each document.

  6. You may click to review CoCounsel’s answers at a document level.

  7. You may refine the results.

  8. You may export the results as various kinds of Word Documents or an Excel Spreadsheet.

2. Extract data from contracts

When CoCounsel is extracting data from contracts, it reads every word to find the information you request. Generally, an extraction follows these steps.

  1. You request to extract data from your contract.

  2. You provide the contracts.

  3. You describe the data you need with questions or other explanations.

  4. CoCounsel reads every word of the contract.

  5. CoCounsel provides an answer grid with a short reply, a longer explanation, and list of sources CoCounsel identified for each extraction for each contract.

  6. You may click to review CoCounsel’s extractions at a document level.

  7. You may refine the results.

  8. You may export the results as various kinds of Word Documents or an Excel Spreadsheet.

3. Analyze contracts for compliance

When CoCounsel is analyzing contracts for compliance, it reads every word of a contract to ensure that the contract’s existing clauses comply with your policies. Generally, contract analysis follows these steps.

  1. You provide the contracts.

  2. You describe your policies.

  3. CoCounsel reads every word of the contract.

  4. CoCounsel identifies clauses that implicate your policies, explains any differences, and suggests redline edits to bring the contract’s existing clauses into compliance with your policies.

  5. CoCounsel provides an answer grid showing its analysis of each contract for each policy.

  6. You may refine the results.

  7. You may export the results as various kinds of Word Documents or an Excel Spreadsheet. If the contract was provided as a Word Document in .docx format, you may download a version with tracked changes matching the suggested redline edits.

4. Create a timeline of events

When CoCounsel is creating a timeline, it reads every word of a file to identify events. Generally, creating a timeline follows these steps.

  1. You request a timeline.

  2. You provide the files.

  3. CoCounsel reads every word of the file.

  4. CoCounsel provides a dynamic list of every event identified in the files, including date and time information, and event description.

  5. Navigate and verify the results:

    1. Search

    2. Set filters

    3. Expand the event to see supporting sources

    4. Click pincites to the page of the document

  6. You may refine the results.

  7. You may export the results as a Word Document or Excel Spreadsheet.

B. Getting Started


There are a few ways to get started.

1. Just ask or add files

To request a review, extraction, or analysis, just ask CoCounsel. Use normal sentences like you would to a colleague. You may also add files to get started. CoCounsel will then tell you what it needs.

2. Select examples

CoCounsel reminds you what it can do. Select “Review.” As you chat, CoCounsel will suggest specific work based on your request. Select "Give me examples" or open the right sidebar.

C. Request a review, extraction, or analysis


Consider the following as you request a review, extraction, or analysis.

1. Write clearly

Write clear requests.

Use direct, active voice

Yes: Where the court sided with the defense.

No: Where the defense was sided with by the court.

Use concise, simple wording

Yes: Cases with a minor plaintiff under the age of 14.

No: Cases where there was a minor who was the plaintiff, and who was also under the age of 14 at the time of the alleged events that the court was considering.

Be specific

Yes: What were the elements of the court’s reasoning in Planned Parenthood v. Casey (1992)?

No: What was the Planned Parenthood case about?

2. Ask for an interpretation

Request an interpretation to ensure CoCounsel has understood your request.

3. Request an answer output type

When you are extracting data from a contract, request an answer type, like text, yes/no, number, date, or time.

4. Conflicting statements

If CoCounsel makes conflicting statements in its reply, it could mean that your files contain conflicting information. Investigate by reading CoCounsel's results.

5. Just ask

It is not possible to list all of CoCounsel’s capabilities. As needs arise, just ask. Learn about prompting.

D. Limitations


1. Input limits

File type

.pdf, .doc, .docx, .txt

File size

500 MB - .pdf

20 MB - .doc, .docx, .txt

✨ If CoCounsel rejects a file, divide the file into multiple, smaller files.

File amount

Generally, there can be a tradeoff between the size of files and the amount of files. For example, CoCounsel may be able to work with many smaller files in the same time as a few larger files. For this reason, you may not want to approach these limits:

Review Documents: up to ~200 files per request

Extract Contract Data: up to ~100 files per request

Contract Policy Compliance: up to ~10 files per request

Requests and refinements

Generally, about 1,000 tokens, or about 750 words. Learn about tokens and context windows.

2. Output limits

Reviewing documents and contracts

-If you upload a contract or set of contracts, and ask CoCounsel to check those contracts for compliance with a set of policies, you have the option of downloading CoCounsel's redline of those contracts, where CoCounsel will indicate in Microsoft Word track changes which contractual clauses conflict with the policies you provided. This option will appear as the button "Download Redlined Docs," after CoCounsel has completed its review. However, this redline option will only appear if your uploaded contracts are in Microsoft Word .docx format.

-Otherwise, if the contracts you uploaded are in a different format from .docx, you will only see the option of downloading CoCounsel's Contract Policy Compliance report. That report will indicate which contract clauses conflict with your stated policies, but the report does not enable you to accept or reject CoCounsel's changes.

3. Compare and contrast documents and contracts

CoCounsel reviews each document and contract on its own. This means CoCounsel cannot complete requests that require CoCounsel to compare or contrast documents or contracts.

4. Reviewing handwriting

Generally, if a human can read handwritten text, then CoCounsel should be able to read it, too. This means CoCounsel’s ability to read handwritten text can vary, depending on legibility.

5. Math and numeric calculations

CoCounsel uses a very advanced large language model to read and write text at a postgraduate level. CoCounsel is not designed for mathematical calculations and analysis.

6. Chronologies and formatting during document or contract review

Generally, CoCounsel cannot review a document or contract and respond with chronologies or detailed formatting.

CoCounsel will provide reminders about its capabilities and limitations.

E. Samples


It is impossible to list all of CoCounsel's capabilities, but please use these samples to consider how CoCounsel will help with your work.

1. Requests

I want to review documents and answer the following questions: 1) Is Andre Agassi named in this document? 2) Are there any injuries mentioned in this document? 3) Does the document mention any medical treatment?

I need to extract the following data from contracts: 1) Is the choice of law Delaware? Please provide a yes/no answer to this question. 2) What are the conditions for modification? Please provide a text answer to this question. 3) How much notice is required for termination? Please provide this answer as a number of days (e.g., 30 days, 180 days).

I need to analyze contracts to ensure compliance with the following policies. 1) Anti-assignment policies should be mutual. 2) Sub-leases are prohibited. 3) Contract disputes must be handled in arbitration.

My client's employee has violated my client's Code of Conduct. Can you help me review the employee's employment contract to determine whether I can terminate the employee for cause, and if so, what notice or any other procedural obligations (if any) is my client required to provide to terminate the employee?

I need to know if third party paper complies with the following policies from my NDA playbook: 1) The term should be 2 years; 2) The agreement should be governed by New York law; 3) The agreement must be compliant with New York state law; and 4) The agreement should be more favorable to the disclosing party.

Could you please review this uploaded statement and find any withdrawals that exceed $110?

Do any of the documents include any negative comments about the new rule? Can you please pull them for me?

2. Refine results

After reviewing CoCounsel’s response, continue chatting with CoCounsel to refine the results.

Ask follow-up questions

Please run the review with all prior questions, but add an additional, follow-up question: Does the Purchase and Sale Agreement include an express warranty of habitability?

Review the document again, but instead of only asking “Is anyone joking around in this document” ask three separate questions: Is anyone being sarcastic? Is anyone mocking someone else? Is anyone using puns?

Analyze the contracts again and add a policy requiring arbitration for any and all disagreements, with an arbitrator chosen solely by the buyer

Request additional assistance

Please provide a brief summary of contract named “google terms.”

Please provide a brief summary of the .txt file you just reviewed.

Please draft a neutral tone email to “Opposing Counsel” that summarizes the answers from the document review above.

Please provide a brief summary of the .pdf file in the data extraction above.

Please list the events from the above timeline in a letter to my client.
